Photo Licensing Agreement
This Agreement is entered into by The Pixel Zone (“Licensor”) and the purchaser (“Licensee”) and outlines the terms and conditions under which photographs (“Images”) are licensed.
1. Personal Use License
- Rights Granted:
- Licensee may use the Image for personal, non-commercial purposes, including personal projects and home decor.
- Prohibited Uses:
- No commercial, promotional, advertising, or merchandising use.
- No distribution, resale, or sublicensing.
- No alteration for commercial use.
2. Royalty-Free License
- Rights Granted:
- Multiple commercial uses without additional royalties, including advertising and marketing.
- Prohibited Uses:
- No resale or distribution as standalone files.
- No implied endorsements.
- Not for logos or trademarks.
3. Enhanced License
- Rights Granted:
- All Royalty-Free rights, plus use in products for resale and high-viewership settings.
- Prohibited Uses:
- No unlawful, harmful, or defamatory use.
- No resale as a digital template.
4. Exclusive License (Transfer of Ownership)
- Transfer of Ownership:
- Upon purchase of an Exclusive License, the Licensor transfers all rights and ownership of the Image to the Licensee.
- The Licensor relinquishes all rights to use, sell, or distribute the Image.
- Rights of the New Owner:
- The Licensee, as the new owner, has full rights to use, resell, distribute, alter, or define usage terms for the Image.
- Permanence:
- This transfer of ownership is perpetual and irrevocable.
General Terms
- Attribution: Credit to Licensor required unless waived in writing.
- Duration: Perpetual, except for Exclusive License where ownership transfers.
- Termination: Licensor may terminate for non-compliance.
- Governing Law: This agreement is governed by the laws of [Jurisdiction].
- Dispute Resolution: Any disputes will be resolved in [Jurisdiction] under its laws.
- Severability: If any part of this Agreement is declared unenforceable or invalid, the remainder will continue to be valid and enforceable.
- Amendments: No amendment to this Agreement will be effective unless it is in writing and signed by both parties.
- Warranties: The Licensor warrants that they have the right to enter into this Agreement and the Image does not infringe any third-party rights.
- Indemnification: The Licensee agrees to indemnify and hold the Licensor harmless from any claims resulting from the use of the Image.
Acknowledgment: By using the Image, the Licensee agrees to the terms of this Agreement.
